Terms of Service
These Terms apply when you access keyhold.in, contact Keyhold, request a free property audit, or discuss property management services. A separate written engagement, proposal, scope note, invoice, authorization, or agreement may apply before paid work begins. If there is a conflict, the written engagement for your specific service will control for that service.
1. Website information
The website provides general information about Keyhold's Mumbai property management services. Website content is not legal, tax, financial, engineering, structural, valuation, investment, insurance, or brokerage advice. Service availability, timelines, pricing, inclusions, and coverage may change and should be confirmed in writing before you rely on them.
2. Eligibility and authority
You must be at least 18 years old to request services. By submitting an enquiry or asking us to act on a property matter, you confirm that the information you provide is accurate and that you are the owner, tenant, authorized representative, or another person with authority to make the request. We may ask for proof of identity, ownership, tenancy, or authorization before proceeding.
3. Enquiries and free property audits
- A website form, WhatsApp message, email, or call does not create a paid engagement by itself.
- The Free Property Audit is a practical owner-side review intended to identify visible issues, documentation gaps, rental-readiness items, and management next steps.
- The audit is not a legal due-diligence report, valuation report, structural report, title search, engineering inspection, tax opinion, or guarantee that a property is compliant or defect-free.
- We may decline, reschedule, or limit an audit where access, safety, authorization, location, documentation, or practical feasibility is not clear.
4. Paid services and scope
Paid property management work begins only after the scope, commercial terms, authority, payment method, and required owner approvals are confirmed. Services may include tenant placement support, rent tracking, inspection coordination, repair coordination, society coordination, agreement support, move-in and move-out support, monthly updates, vendor follow-up, and related records.
Any service not expressly included in the agreed scope is excluded unless separately agreed. Specialist professional services such as legal drafting, title review, tax filing, valuation, structural inspection, pest control, deep repairs, brokerage, police verification, registration, and government filings may require separate professionals, fees, or authorizations.
5. Owner responsibilities
- Provide accurate ownership, tenant, property, access, society, payment, and emergency-contact information.
- Provide documents and authorizations needed for the agreed work.
- Respond promptly to approvals, repair decisions, tenant questions, society requirements, legal notices, and payment requests.
- Maintain funds for rent-related obligations, government fees, society dues, vendor bills, taxes, deposits, and pass-through costs.
- Ensure that instructions given to Keyhold are lawful and do not violate tenancy agreements, society rules, court orders, or third-party rights.
6. Tenant, vendor, and society coordination
Keyhold may coordinate with tenants, prospective tenants, brokers, vendors, contractors, building managers, society offices, security desks, registration agents, advisers, and local representatives. We are not responsible for independent acts, omissions, delays, pricing, workmanship, professional advice, or legal compliance of third parties. We will use reasonable care in coordination and escalation, but third-party outcomes are not guaranteed.
7. Pricing, payments, and pass-through costs
- Website pricing is indicative unless confirmed in writing for your property.
- Current ongoing management pricing may be shown as a percentage of monthly rent, but final pricing depends on the agreed scope.
- Vendor charges, society charges, government fees, stamp duty, registration fees, professional fees, travel, emergency purchases, materials, and other pass-through costs are payable separately unless expressly included.
- Taxes, TDS, GST, withholding, remittance, and owner accounting obligations remain the owner's responsibility unless a separate professional service is agreed.
- Late payments or insufficient funds may delay or suspend service.
8. Repairs and emergency work
For non-urgent paid work, we seek owner approval before instructing vendors unless your engagement provides a pre-approved limit. For urgent issues involving safety, active leakage, security risk, tenant habitability, or serious property damage, we may recommend immediate action and attempt to contact the owner as quickly as practical. Emergency work depends on available vendors, access, funds, and local conditions.
9. No guaranteed outcomes
We do not guarantee a tenant, rent amount, occupancy period, property condition, society approval, vendor timeline, repair result, legal result, tax result, buyer or renter interest, dispute outcome, government approval, or financial return. We provide coordination, records, communication, and practical follow-through within the agreed scope.
10. Communications and records
You agree that we may communicate through WhatsApp, phone, email, forms, documents, and other practical channels. We may keep records of messages, approvals, photos, videos, invoices, receipts, and task updates to support service delivery, accounting, dispute handling, and owner reference.
11. Intellectual property and website use
The website, design, text, graphics, branding, service descriptions, and other content belong to Keyhold or its licensors. You may use the website for personal, lawful enquiry and service evaluation only. Do not copy, scrape, misuse forms, attempt unauthorized access, interfere with the website, submit false information, or use the site for spam or unlawful activity.
12. Limitation of liability
To the maximum extent permitted by applicable law, Keyhold will not be liable for indirect, incidental, special, punitive, or consequential losses, lost profits, lost rent, business interruption, third-party acts, force majeure events, platform outages, or losses arising from inaccurate information, delayed approvals, lack of access, insufficient funds, vendor issues, tenant conduct, society decisions, or government delays. Nothing in these Terms limits liability where it cannot legally be limited.
13. Indemnity
You agree to indemnify Keyhold against claims, losses, costs, penalties, or disputes arising from inaccurate information, lack of authority, unlawful instructions, non-payment, owner or tenant disputes, undisclosed property issues, breach of these Terms, or breach of a service engagement.
14. Suspension and termination
We may pause, decline, or end services where instructions are unlawful, unsafe, unclear, abusive, unsupported by documents, unpaid, outside scope, or impractical to perform. Either party may end an engagement according to the written service terms. Ending a service does not remove obligations for completed work, pending vendor bills, taxes, pass-through costs, confidentiality, or records needed for disputes and compliance.
15. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory consumer forum or statutory rights, courts and forums in Mumbai, Maharashtra will have jurisdiction. We prefer to resolve complaints first through direct escalation at [email protected].
